IMPORTANT: By accessing Trustpilot's Security Documentation Portal, you agree to be bound by the terms of this Confidentiality Agreement. If you do not agree to these terms, do not access the Portal or any documents contained therein.
1. PARTIES. This Confidentiality Agreement (the "Agreement") is entered into between the individual or entity accessing Trustpilot's Security Documentation Portal ("Recipient") and the following Trustpilot entity, depending on your location ("Trustpilot"): (i) For Individuals or Entities in the United States: Trustpilot, Inc., with its principal place of business at 50 West 23rd Street, Suite 1000, New York, NY 10010, United States. (ii) For Individuals or Entities in the United Kingdom: Trustpilot, Ltd., with its principal place of business at 5th Floor, The Minster Building, 21 Mincing Lane, London EC3R 7AG, United Kingdom. (iii) For Individuals or Entities not in the United States or the United Kingdom: Trustpilot, A/S., with its principal place of business at Pilestræde 58, 5th floor, 1112 Copenhagen K, Denmark. 2. PURPOSE. Trustpilot agrees to provide Recipient with access to certain confidential, sensitive, and proprietary security documentation, including but not limited to SOC 2 reports, penetration testing results, security policies, and other related materials (collectively, the "Confidential Information") for the sole purpose of evaluating or maintaining a business relationship with Trustpilot. 3. CONFIDENTIALITY OBLIGATIONS. Recipient agrees to: (i) Maintain the confidentiality of all Confidential Information, (ii) Not disclose Confidential Information to any third party without Trustpilot's prior written consent, (iii) Use the Confidential Information solely for the Purpose stated above, (iv) Limit access to Confidential Information to those employees, agents, or representatives who have a need to know and who are bound by confidentiality obligations no less restrictive than those contained herein, (v) Comply with all document-specific instructions, restrictions, and limitations provided with each document, including any notices accompanying the Confidential Information, and (vi) Implement appropriate measures to protect the Confidential Information from unauthorized access, use, or disclosure. 4. DOCUMENT SPECIFIC INSTRUCTIONS. Recipient acknowledges and agrees that: (i) Some documents accessed through the Portal may contain specific restrictions regarding their use, distribution, and handling based on the contents of those documents, (ii) Recipient will comply with all stated restrictions, (iii) Failure to comply with document-specific instructions constitutes a breach of this Agreement. 5. TERM AND TERMINATION. This Agreement shall remain in effect for as long as Recipient has access to the Portal and for a period of three (3) years thereafter. Trustpilot may terminate Recipient's access to the Portal at any time and for any reason. 6. RETURN OR DESTRUCTION OF CONFIDENTIAL INFORMATION. Upon completion of the Purpose or upon Trustpilot's request, Recipient shall promptly return or destroy all Confidential Information in its possession, including any copies, notes, or other documents containing or reflecting Confidential Information. 7. REMEDIES. Recipient acknowledges that monetary damages may not be a sufficient remedy for unauthorized disclosure of Confidential Information and that Trustpilot shall be entitled to seek injunctive or other equitable relief to prevent or remedy any breach or threatened breach of this Agreement. 8. GOVERNING LAW AND JURISDICTION. For Individuals or Entities in the United States, this Agreement shall be governed by and construed in accordance with the laws of the State of New York, and any dispute, controversy, or claim arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the Courts located in New York County, New York. For Individuals or Entities not in the United States, this Agreement shall be governed by and construed in accordance with the law of England and Wales, and any dispute, controversy, or claim arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the Courts of England and Wales. 9. ACCEPTANCE. By clicking "I Accept" or by accessing any documents within the Portal, Recipient acknowledges that they have read, understand, and agree to be bound by the terms of this Agreement.
